Terms of Service & End User License Agreement

Numbrr.ai Terms of Service & End User License Agreement Effective Date: Date of Acceptance This Agreement is entered into by and between Numbrr.ai LLC ("Company", "We", "Us") and the entity or individual ("Client", "You"). By accessing the Numbrr.ai platform and connecting third-party applications, you agree to these terms. 1. Scope of Platform & Services 1.1. Service Delivery: You acknowledge that Numbrr.ai utilizes a "Hybrid AI" model. Services are performed using proprietary automation, third-party software integrations, and human oversight. 1.2. Exclusions: Unless explicitly included, our Services do not include: (a) forensic accounting; (b) onsite audits; (c) legal advice. Services do not constitute an audit in accordance with AICPA standards. 2. Platform License and Restrictions 2.1. License Grant: We grant you a limited, non-exclusive, non-transferable license to access and use the Numbrr.ai client portal for your internal business purposes. 3. Third-Party Integrations (QuickBooks Online) 3.1. Intuit Disclaimer: The Numbrr.ai portal may integrate with Intuit Inc.'s QuickBooks Online ("QBO"). Intuit is not a party to this Agreement. Intuit is not responsible for the Numbrr.ai application, its content, or how Numbrr.ai uses your data. 3.2. Authorization: By connecting QBO to Numbrr.ai, you authorize us to access, view, and sync your financial data as necessary to provide our services. 4. Fees and Payment Terms 4.1. Prepaid Model: Services are billed 100% up-front on a recurring basis. You must maintain a valid payment method on file. 4.2. No Refunds: All payments are non-refundable. We do not offer prorated refunds for mid-cycle cancellations. 5. Term, Termination, and Liability 5.1. Termination: Cancel anytime via the user portal. We reserve the right to terminate for non-payment or violation of terms. 5.2. Liability Cap: Liability is limited to fees paid in the three (3) months preceding the claim. 5.3. Governing Law: State of New York.
